Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DeskCrew support-helpdesk service (the “Service”) operated by DeskCrew (“DeskCrew,” “we,” “us”). By creating a workspace, joining the waitlist, or otherwise using the Service, you agree to these Terms.
1. The Service
DeskCrew is a multi-tenant SaaS helpdesk that lets a business (“you,” the “Customer”) run support across a website widget, public feedback board, email, Slack, and Discord, with an optional AI-assist layer and an optional x402 agent door. We may update, improve, or change features over time.
2. Accounts & workspaces
You are responsible for the activity in your workspace, for keeping your credentials and API keys secure, and for the conduct of the agents and operators you invite. You must provide accurate information and promptly update it. You are responsible for the data you and your end-customers submit into the Service and for having the rights and lawful basis to process it.
3. Acceptable use
You agree not to:
- use the Service to violate any law or third-party right;
- upload malware, attempt to breach or probe the Service’s security, or access another tenant’s data;
- send spam, harassing, or unlawful content, or use the Service to process data you are not permitted to process;
- resell, scrape, or reverse-engineer the Service except as expressly permitted (for example, under a partner/reseller arrangement we agree to in writing);
- overload or abuse the API, widget, or agent endpoints beyond documented rate limits.
We may suspend access to protect the Service or other customers from abuse or risk.
4. Payment & subscriptions
Some features are offered on paid plans. Subscription billing is processed by Stripe; agent pay-per-action usage settles in USDC on supported public chains (Base, Polygon, Avalanche, Sei, and Solana). Fees are billed in advance for the applicable period and are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice. You are responsible for any taxes other than taxes on our income. Plan availability and self-serve signup may roll out over time; some plans are early-access.
5. AI features & agent actions
Where you enable AI-assist or the x402 agent door, the Service may generate draft replies or proposed actions. These are tools to assist your team; a human in your workspace remains responsible for reviewing and approving outputs before they reach an end-customer. You are responsible for your use of any generated content.
6. Intellectual property
We retain all rights in the Service. You retain all rights in your data. You grant us a limited license to host and process your data solely to provide the Service.
7. Service provided “as is”
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any AI-generated output will be accurate.
8. Limitation of liability
To the maximum extent permitted by law, DeskCrew will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim.
9. Termination
You may stop using the Service and close your workspace at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law. On termination, your right to use the Service ends; we will make your data available for export for a limited wind-down period as described in our Privacy Policy before deletion.
10. Governing law
These Terms are governed by the laws of [JURISDICTION — to be set], without regard to conflict-of-laws principles, and any disputes will be subject to the courts of that jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above; continued use after changes take effect constitutes acceptance.
